Terms of Service

The terms and conditions that govern your use of Ooperon.

01Agreement to terms

These Terms of Service (the “Terms”) are a binding agreement between you and Ooperon, Inc. (“Ooperon,” “we,” “us,” or “our”). They govern your access to and use of the Ooperon CRM platform, the ooperon.com website, and related services (together, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

02Accounts & eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us immediately at contact@ooperon.com if you suspect unauthorized use.

03Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms. In short, you agree not to:

  • Break the law or infringe anyone’s rights.
  • Send spam or messages without the consent required by law (including TCPA, CAN-SPAM, and messaging-platform rules).
  • Reverse engineer, resell, or overload the Service, or probe it without authorization.
  • Upload malware or use the Service to harm others.

04Your data & content

You retain all rights to the data and content you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service and as directed by you. Our handling of personal data is described in our Privacy Policy.

You are responsible for your Customer Data and for having the rights and consents needed to collect and process it, including consent to contact the individuals your agents and automations reach.

05AI features

The Service uses AI models to draft replies, qualify leads, and run automations you configure. AI output can be inaccurate or incomplete. You are responsible for reviewing AI-generated content and for the messages your agents and automations send. Do not rely on AI output as legal, financial, medical, or other professional advice.

You configure what your agents say and do. You remain responsible for the outcomes of the automations and agents you enable.

06Plans, billing & trials

Paid plans are billed in advance on a recurring basis through our payment processor. Unless stated otherwise, fees are non-refundable and exclusive of taxes, which you are responsible for. Usage-based limits (such as monthly automation runs) apply to your plan as described at sign-up.

  • Your subscription renews automatically until cancelled.
  • You can cancel at any time; cancellation takes effect at the end of the current billing period.
  • We may change pricing on renewal with reasonable prior notice.

07Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Ooperon and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not expressly granted are reserved. If you send us feedback, you grant us a perpetual, royalty-free license to use it.

08Suspension & termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the platform. On termination, your right to use the Service ends and we will handle your data as described in our Privacy Policy.

09Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI output will be accurate.

10Limitation of liability

To the maximum extent permitted by law, Ooperon will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us in the 12 months before the event giving rise to the claim.

11Indemnification

You agree to indemnify and hold harmless Ooperon and its officers, employees, and agents from any claims, damages, and expenses arising out of your Customer Data, your use of the Service, or your breach of these Terms or of any law.

12Governing law & disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. You and Ooperon agree to the exclusive jurisdiction of the state and federal courts located in State of Delaware, United States, unless applicable law requires otherwise.

13Changes & contact

We may update these Terms from time to time. When changes are material, we will update the date above and, where appropriate, notify you. Continued use of the Service after an update means you accept the revised Terms.
